    Sots Verds S.L.U. (“Sots Verds”)

    1.Scope of Application

    1.1 These General Terms of Sale (“GTS”) apply to the loading or unloading services of pruning and gardening waste (“Loading or Unloading Services”) that Sots Verds, as the owner and operator of the infrastructure of unloading or loading stations for pruning and gardening waste of the Autonomous Green Stations Network (“XEAV”), directly provides to the Client.

    For the purposes of these GTS, “Client” means any individual or legal entity that uses the Loading or Unloading Services at the Autonomous Green Stations Network points.

     

    2.Contract Formation

    2.1 The contract between the Client and Sots Verds will be established as an individual contract for each specific Loading or Unloading Service that the Client performs at an XEAV station.

    2.3 The Loading or Unloading Services at an XEAV station will be provided on behalf of Sots Verds. The settlements of the Loading or Unloading Services will be made exclusively between Sots Verds and the Client. When unloading, the user enters the station, performs the discard, and exits. When loading, the user enters the station, completes the operation, and exits. If a user wishes to both unload and load, they must exit the station between the two operations.

     

    3.Provision of Loading or Unloading Services

    3.1 The Client may use the Loading or Unloading Services at any XEAV Station by using the payment terminal and entering the requested information related to the type of waste or product.

    3.2 The use of the Loading or Unloading Services at an XEAV station is subject to the availability of unloading or loading capacity, operational availability, and any temporary or other restrictions at an XEAV station, including any interruption or irregularity in the service due to or as a result of a power grid failure or the operation of XEAV stations.

    3.3 The products supplied at an XEAV station come from valorized waste with a certificate of origin guarantee. These products carry a carbon footprint classification.

     

    4.Client Obligations

    The Client must comply with the following obligations each time they use an XEAV Station:

    4.1 Correctly use the vehicle scale at the XEAV station and discard only materials (e.g., pruning and gardening waste, stumps, trunks) that meet legal requirements.

    4.2 The Client is required to comply with the applicable rules and instructions for using the XEAV stations on-site, particularly by reading the operating and safety instructions available at each XEAV station.

    4.3 Use only the designated spots at each Loading or Unloading Station. Occupation of non-designated spots is prohibited.

    4.4 Where possible, report any defect or malfunction at an XEAV station to Sots Verds as soon as the issue is identified.

    4.5 Inspect the XEAV Station for any visible damage before using it. Visibly damaged Unloading or Loading stations should not be used. Sots Verds will not be responsible for any damage caused to the Client or their vehicle if they disregard the operating and safety instructions of a visibly damaged XEAV Station.

     

    5.Pricing, Payments, and Invoicing

    5.1 The prices for the Loading or Unloading Services will be displayed on the XEAV Station screen.

    5.2 To use the Loading or Unloading Services, the Client must pay by credit card via the payment terminal at the XEAV Station. Alternatively, the Client can opt for bank direct debit if they have previously completed the user registration process.

    5.3 Loading or Unloading Services are charged based on the weight of the waste discarded or loaded, recorded directly after each operation. The receipts for each operation are issued through the XEAV Station payment terminal.

    5.4 After completing the loading or unloading process, the user can view a simplified invoice by scanning the QR code displayed on the XEAV Station screen. This QR code will redirect to a web page where the simplified invoice can be downloaded, and the user can enter their email to receive the invoice by email. To request a full invoice, the user can enter the simplified invoice number and the transaction amount on the web portal www.sots.green/invoice. The process by which the Client accesses their simplified invoice or full invoice may be updated over time. If changes occur, Sots Verds will update the process in these GTS.

    5.5 Sots Verds will clearly and transparently present the prices of services or products delivered as part of the Loading or Unloading Service.

    5.6 Sots Verds may launch promotional offers where the Client can use the Loading or Unloading stations for free. In such cases, Sots Verds will not issue a ticket or invoice.

    5.7 Additionally, Sots Verds may charge Clients for each minute their vehicle remains parked at the Loading or Unloading station area. In such a case, Sots Verds will modify these GTS.

     

    6.Loading or Unloading Service Considerations

    6.1 The scale unit is kilograms, with a minimum weight of 30 kg and increments of 20 kg.

     

    7.Sots Verds Obligations

    7.1 Sots Verds will comply with applicable regulations, particularly those concerning quality, industrial safety, and metrology.

     

    8.Liability

    8.1 Sots Verds will not be liable to the Client for losses, damages, or injuries caused to the Client or third parties by:

    An inherent danger in the nature of the Loading or Unloading Services;

    Any circumstance that is not reasonably foreseeable by the Client or Sots Verds at the time these GTS come into effect;

    Any event not directly caused by a breach of Sots Verds, including but not limited to:

    (i) Any event beyond the control of Sots Verds, such as power grid failures;

    (ii) Any breach by the Client of their obligations outlined here, as well as Sots Verds’ instructions regarding the use of Loading or Unloading Points, including connection and disconnection;

    (iii) If the Client is a business, any loss (including indirect losses) of revenue, profit, business, goodwill, opportunity, savings, or anticipated gains, loss of property, or loss of property use, due to failure to fulfill its legal obligations or of any other nature;

    (iv) Any changes in the number and/or location of Sots Verds Loading or Unloading Points;

    (v) Any outdated information displayed on Sots Verds websites.

    8.2 Nothing in these GTS will affect the Client’s legal rights or exclude, restrict, or limit Sots Verds’ liability for (i) breach of applicable law; (ii) death or personal injury resulting from negligence, or (iii) fraud or deceit.

    8.3 The liability limitations outlined in this clause apply to Sots Verds, its subsidiaries, directors, board members, legal representatives, employees, agents, as well as any other company to which Sots Verds may transfer its rights and obligations.

    8.4 The Client will be responsible to Sots Verds for any claims, damages, costs, losses, liabilities, and legal proceedings brought against Sots Verds by a third party due to the Client’s improper, fraudulent, or contrary-to-GTS use of the Sots Verds Loading or Unloading Points.

     

    9.Support

    9.1 For any questions, complaints, incidents, or claims the Client needs to make as a result of the Loading or Unloading Services, Sots Verds offers customer service through the phone number +34 900 948 088 or a contact form available on the Sots Verds website: Contact | Products and Services | Home (Sots Verds.com).

     

    10.Data Protection

    Your personal data will be included in a file managed by Sots Verds Energía España, S.A.U., C/ Quintanadueñas, 6 (Arqbòria building), 2nd floor – 28050 Madrid, for the purpose of managing the electricity supply and its payment, with the legal basis being primarily commercial and tax regulations, as well as your consent.

    Your data will not be transferred to third parties unless necessary for the management of this agreement or by legal requirement, and always in compliance with the current Data Protection framework, particularly the General Data Protection Regulation (GDPR) (EU) 2016/679 of the European Parliament and Council, of 27 April 2016.

    Your data will be deleted once the purposes for processing have been fulfilled, unless a longer period is required by law.

    As Sots Verds operates globally, your data may be accessed/shared with other Sots Verds group companies when necessary for achieving the processing purpose. Any internal data transfer within the Sots Verds group is governed and legitimized by Sots Verds’ Internal Group Agreement (IGA), ensuring an adequate level of data protection throughout the group, in accordance with GDPR requirements.

    Clients may exercise their rights to access, rectification, deletion, limitation, portability, and revocation by submitting a request to the above-mentioned address or using this form: Contact | Products and Services | Home (Sots Verds.com). Clients may also file complaints with the Spanish Data Protection Agency.

    11.Modification of these GTS

    Sots Verds may modify these GTS whenever necessary to adapt them to new operational or regulatory procedures.

     

    12.Applicable Law and Jurisdiction

    12.1 Commercial relations between the Client and Sots Verds are exclusively subject to Spanish law. For consumers, this choice of law will only apply if it does not deprive the consumer of the protection granted by the mandatory provisions of their country of habitual residence.

    12.2 The competent jurisdiction will be Madrid Capital, without prejudice to the jurisdiction that may legally correspond to consumers.

     

    These terms came into effect on April 21, 2023.
